Learning objectives

The course aims to explain the rules that govern the functioning of the individual and collective enterprise, with particular attention to the reasons underlying the choices made by the legislator and verifying the extent to which they give rise to an efficient balancing of the interests involved. Where necessary, the guidelines followed by the case law and the solutions adopted in other jurisdictions will be considered. The goal is to provide the student with the basics of business law and the critical ability to use them to solve real problems with correct methods

Prerequisites

It is highly recommended not to take the exam of commercial law without first having passed the exam of private law

The entrepreneur, the company, the distinctive signs, intellectual property and inventions
The regulation of competition
The association in participation, consortia, the EEIG and joint ventures
The companies in general, partnerships and corporations
Cooperatives and mutual associations
Transformation, merger and demerger

Teaching methods

Lectures on the main topics of the program. Visual aids designed to focus attention on the most relevant issues and standards will be used. There will be a focus on the most relevant elements of the reform of limited liability companies and cooperatives. Particular attention will be devoted to intellectual property rights
