Learning objectives

The target of this course is to explain the rules of Italian Business and Commercial law and their ratio. During lessons it will be also highlighted the main interests involved by such rules (entrepreneurs; shareholders; company's members, stakeholders, market, etc...).

The course will also have a comparative approach when necessary.

References to different jurisdictions will be made on a case by case basis.

Cases and materials may be also discussed during the lessons.

Prerequisites

The exam of Business and Commercial Law may be attended only by students who have previously successfully passed the exam of Privat Law (Diritto Privato) and Institution of Roman Law (Istituzioni di Diritto Romano).
The exam of Business and Commercial Law must be succesfully passed to to attend Bankruptcy Law exam and other exams related to the scientific area "IUS/04".

Course unit content

The topic of the course is "Business and Commercial Law". It is mainly focused on Italian rules about the enterprise and the enterpreneurs, the companies and (the main) commercial contracts.
Bankruptcy law is excluded by the programme it being a part of a specific course (Bankruptcy Law)

The exam can be prepared studying the following books:

2. CAMPOBASSO, Diritto commerciale 2. Diritto delle società, last available ed., Torino, UTET.
3. CAMPOBASSO, Diritto commerciale 3. Contratti. Titoli di credito. Procedure concorsuali, last available ed., Torino, UTET (limited to the following parts: Chapter XIII – I Contratti bancari (whole); Chapter XIV – L’intermediazione finanziaria (limited to Section A, B e C); Chapter XV – L’intermediazione mobiliare ((whole).

It is also required the use of an updated Italian Civil Code.

The use of different books may be agreed with the professor on a case by case basis.

Teaching methods

Main rules concerning Business and Commercial Law will be explained during the lessons. The study and knowledge of the rules included in the Italian Civil Code will be considered as the starting point. Interpretative issues and interests involved by these rules will be also deeply considered.
Discussions with students will be promoted by the professors during the lessons in order to stimulate reflections and critical sense.

Assessment methods and criteria

Oral examination.
However, the introduction of a multiple choice test as a preliminary exam to access the oral discussion of the matter may be later communicated to students
